7. Job Description and Background:

Concerns about energy security, availability and costs have resulted in an increased focus on renewable and alternative energy sources. While consumer demand and government incentives have provided ample opportunity for development and growth in the renewable energy sector, increased scrutiny and regulation also give rise to unique and often complex legal and business challenges

A J.D. looking to join a small and close-knit legal team dedicated to delivering high quality projects through collaboration, communication, and constant improvement

Deeply interested in participating in the entire development process—from project due diligence to pre-construction, permitting, acquisition, and construction
A direct and articulate communicator who strives to build strong relationships with your colleagues based on mutual respect
A creative attorney who knows how to navigate those relationships and solve problems.
Work closely with the distributed renewable energy project development team for project strategies, contracting, and project acquisition
Draft, revise, and negotiate routine to moderately complex negotiations for various commercial agreements for renewable energy project development, including procurement contracts, power purchase, and other offtake agreements and EPC agreements
Provide legal support to tax equity investments
Conduct due diligence (research, obtain, compile, prepare, produce and/or review documents, data, permits, environmental, and other real estate-based information), including title documents and/or analysis of UCC searches for project acquisition
Identify, resolve, and document process roadblocks for project acquisition
Draft, revise, and negotiate project acquisition documents, including LOIs, MIPAs and/or Asset Purchase Agreements
Work closely with internal the business team to achieve desired business outcomes while minimizing legal risk
Manage multiple existing contracts during the project development cycle
Support the procurement function
Provide other legal support as needed, including international law and/or collaboration with foreign attorn
Take ownership of everything you work on and be responsible for the thoroughness and quality of everything you create
Collaborate closely with the team to constantly improve our processes and best practices
